1. Who we are. Stemhand is a macOS program plus a web app that controls it, provided by Stemhand ("we"), contact info@stemhand.app. By installing, buying or using it you accept these Terms, the Privacy Policy and the Refund Policy. The sale is made by Creem (Armitage Labs OÜ, Estonia), acting as authorized reseller and merchant of record ("the payment platform"): it takes the payment, issues the receipt, handles taxes and processes payments and refunds, under its terms. We grant the license.

2. What it does and needs. Stemhand exports audio from Ableton Live by operating Live's export window on your Mac, and lets you trigger and receive exports from your phone. Requirements: Mac · Ableton Live 12. It needs macOS Accessibility/Automation permission, and internet to activate the license, for license checks (see 3) and for phone use outside your network. While exporting, Stemhand drives Live's window: don't use the Mac until it finishes.

3. License.

• One-time payment. Stemhand is sold as a one-time-payment license. It is not a subscription: there are no recurring charges.
• Price. List price is USD 39 (one-time payment). People on the waitlist can buy at the founder price of USD 29 (one-time payment), with the code and deadline sent by email. The final price, including taxes, is shown at the payment platform's checkout.
• Beta (first 15 on the list). The first 15 people on the waitlist who join the closed beta get a free lifetime license, on the same terms as a paid one.
• Scope. Personal, non-exclusive, non-transferable license for up to 2 Macs you own or use.
• Term. The license does not expire. It includes all version 1 updates (1.x). If a version 2 ever exists, its terms will be announced then; your version 1 license keeps working as before.
• Receipt and key. The payment platform emails your receipt and license key and keeps them in its customer portal, which you access with your purchase email.
• License check. The key is verified online when you activate Stemhand on a Mac. After that the app re-checks it silently when it starts or connects. Without internet, Stemhand keeps working for up to 30 days from the last successful check; after that it won't export until the Mac goes online briefly. If the payment platform is down, a valid key keeps working.
• Switching Macs. Deactivate a Mac in Settings to activate another. If you no longer have the old one, contact us and we'll free it.
• No reselling, renting or sharing license keys, and no removing third-party license notices. Third-party open-source components (MIT: parts of Dysron/ableton-mcp, AbletonOSC) keep their own licenses.

4. Beta. Beta builds are provided as is and may break or change. Usage data is collected only with your explicit opt-in.

5. Relay. Phone access and license checks use a relay we run on Cloudflare, on a reasonable-effort basis; no uptime guarantee. Exporting from the Mac itself does not depend on it, except for the license check and its 30-day margin. If we ever shut it down we will give 90 days' notice and keep active licenses valid permanently.

6. Your responsibility. Back up your projects. Stemhand restores mixer state after exporting and does not modify or save your sets, but a crash during export may leave changes. You are responsible for the content you export and share. Drive links are public to anyone who has them. Don't try to break the relay or the license check.

7. Trademarks. Ableton and Live are trademarks of Ableton AG. Stemhand is not affiliated with, sponsored or endorsed by Ableton AG. Mac/macOS are trademarks of Apple Inc.; Google Drive of Google LLC.

8. Warranty and liability. To the extent permitted by law, we are not liable for indirect damages and our total liability is limited to the amount you paid for the license. Nothing here limits your mandatory consumer rights.

9. Suspension. We may disable licenses that are resold, shared or used to attack the service. Refunded licenses are also disabled. If we disable one by mistake, we reactivate it or refund you.

10. Changes. Material changes announced 30 days in advance. No change will turn your one-time license into recurring payments.

11. Law. Laws of Argentina; consumers keep the mandatory protections and courts of their country of residence.
